Terms of Use

Scope

These Terms of Use apply to access and use of YULY software, applications, platform features, documentation workflows, revenue-cycle workflows, AI-assisted tools, analytics, integrations, support services, and related offerings provided by YULY, Inc., a Delaware corporation. These Terms may be supplemented by an order form, subscription agreement, business associate agreement, data processing agreement, or other written agreement.

If you use YULY on behalf of a clinic, company, healthcare provider, or other organization, you represent that you have authority to bind that organization. In that case, "you" means both you and the organization.

Accounts and Authorized Users

Access to the platform may require an account. You are responsible for keeping credentials secure, using appropriate devices, maintaining accurate account information, and promptly notifying your organization or YULY of suspected unauthorized access.

  • Use only the account assigned to you.
  • Do not share passwords or authentication codes.
  • Use role permissions responsibly and only for legitimate business or care-related purposes.
  • Keep patient, clinical, billing, and business information confidential.
  • Promptly report security concerns or access mistakes.

Customer Responsibilities

Customers are responsible for their users, workflows, configurations, data inputs, clinical documentation, coding and billing decisions, payer submissions, patient communications, and compliance with laws that apply to their organization.

  • Maintain required notices, consents, authorizations, and patient-facing communications.
  • Review AI-assisted outputs before using them in clinical, billing, or operational decisions.
  • Confirm documentation, CPT, ICD, modifier, claim, payer, and compliance decisions before final use.
  • Maintain appropriate policies for user access, data retention, patient requests, and audit review.
  • Use integrations and imported data only when authorized to do so.

Healthcare, Documentation, and Revenue Workflows

YULY is designed to support healthcare operations, documentation, analytics, and revenue-cycle workflows. The platform can help organize information, draft or summarize content, surface possible review items, and make work queues more visible. It does not replace professional clinical, therapy, coding, billing, compliance, legal, or financial judgment.

Authorized users are responsible for reviewing, approving, editing, rejecting, or supplementing platform outputs before relying on them. YULY does not guarantee reimbursement, payer approval, claim acceptance, clinical outcome, regulatory compliance, or completeness of any AI-assisted output.

AI-Assisted Features

YULY may include AI-assisted transcription, note drafting, coding support, claim readiness signals, denial workflow support, analytics observations, or other automated features. AI outputs may be incomplete, inaccurate, or require context that only a qualified human user can provide.

  • AI outputs must be reviewed by authorized human users before final use.
  • Users should verify source context, patient details, clinical facts, codes, payer rules, and documentation requirements.
  • AI suggestions are not instructions to bill, diagnose, treat, submit, appeal, or take any specific action.
  • YULY may improve, monitor, test, and secure AI-assisted features as permitted by customer agreements and applicable law.

Customer Data

Customers retain ownership of the data, content, files, records, prompts, transcripts, notes, patient information, claim details, and other materials they submit to or generate through the platform. YULY receives the rights needed to host, process, transmit, secure, display, back up, troubleshoot, and otherwise provide the services.

Where customer data includes protected health information, YULY will process it as permitted by the applicable agreement, including a business associate agreement when required.

Acceptable Use

You may use the platform only for lawful, authorized, and permitted purposes. You may not misuse the platform or use it in a way that harms patients, users, YULY, customers, systems, or third parties.

  • Do not access data or accounts without authorization.
  • Do not upload malware, harmful code, unlawful material, or content that violates another party's rights.
  • Do not interfere with platform security, availability, monitoring, or integrity.
  • Do not attempt to reverse engineer, copy, scrape, benchmark, or extract source code except as allowed by law.
  • Do not use the platform to build a competing service or train external models without written permission.
  • Do not remove notices, bypass usage limits, or disable security controls.

Integrations and Third-Party Services

The platform may connect with EHRs, clearinghouses, communication tools, payment processors, analytics tools, cloud infrastructure, AI providers, or other third-party services. Customer-authorized integrations may require sharing data with those services. YULY is not responsible for third-party products that are not controlled by YULY.

Implementation, Support, and Availability

YULY may provide onboarding, implementation, configuration, support, and maintenance. We work to keep the platform reliable, but availability can be affected by maintenance, updates, third-party services, network issues, security events, or factors outside our control.

Fees and Payment

Fees, payment terms, taxes, subscription periods, renewal terms, and cancellation rights are governed by the applicable order form or written agreement. Unless otherwise stated in a written agreement, fees are non-refundable once incurred.

Suspension and Termination

YULY may suspend or restrict access when needed to protect security, prevent unlawful activity, address non-payment, comply with law, respond to misuse, or prevent harm to YULY, customers, users, patients, or third parties. Termination rights are governed by the applicable written agreement.

Confidentiality

Each party may receive non-public information from the other. Confidential information must be protected with reasonable care and used only for the purpose of providing, receiving, supporting, or evaluating the services, unless disclosure is required by law.

Disclaimers

Except for commitments expressly written into a signed agreement, the platform and services are offered without a guarantee that every workflow, output, integration, or feature will be uninterrupted, error-free, complete, or suitable for a customer's particular use. To the fullest extent the law allows, YULY excludes implied, statutory, and similar assurances about commercial suitability, specific-purpose usefulness, non-infringing operation, platform availability, and output accuracy.

Limitation of Liability

To the maximum extent permitted by law and except as otherwise stated in a written agreement, YULY will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for loss of data, revenue, goodwill, reimbursement, business opportunity, or clinical outcome.

Changes

We may update these Terms of Use from time to time. Updated terms will be posted on this page with a revised date. Material changes may also be communicated through the platform or other reasonable means.
